1ROC annual filing for companies
AOC-4 (financial statements, with AOC-4 CFS where consolidated accounts apply) within 30 days of the AGM, and the annual return in MGT-7, or MGT-7A for small companies and OPCs, within 60 days of the AGM. An OPC files AOC-4 within 180 days of the year-end.
2XBRL filing
Companies covered by the XBRL Rules, including listed companies, companies with paid-up capital of ₹5 crore or more and companies with turnover of ₹100 crore or more, file financial statements in AOC-4 XBRL. Since July 2025, the signed financial statements in PDF must also be attached. We help prepare and validate the XBRL file.
3LLP annual filings
Form 11 (annual return) by 30 May and Form 8 (statement of account and solvency) by 30 October each year, for every LLP, even with no business activity.
4Auditor appointment (ADT-1)
Filing ADT-1 within 15 days of the meeting at which the auditor is appointed, along with the auditor’s consent and the board or shareholder resolution.
5Director changes and DIR-3 KYC
DIR-12 within 30 days of a director’s appointment, resignation or other change. Director KYC is now filed in Form DIR-3 KYC-Web once every three years (by 30 June of the due year), and within 30 days of any change in mobile number, email or address.
6Share allotment and charges
PAS-3 return of allotment within 30 days of allotment (15 days for private placements), and CHG-1 for creating or modifying a charge within 30 days. Later filing of CHG-1 is allowed only within the extended periods under Section 77, with higher fees.
7PAS-6 reconciliation
The half-yearly Reconciliation of Share Capital Audit Report in Form PAS-6, due within 60 days of the end of each half year (by 30 May and 29 November for most companies), once the company has an ISIN.
8ISIN and demat of private company shares
Under Rule 9B of the PAS Rules, private companies other than small and government companies must issue securities only in demat form and have their existing securities dematerialised. We help appoint an RTA, get the ISIN from NSDL and CDSL, and guide shareholders through demat.

Frequently asked questions
What is MCA V3?
The Ministry of Corporate Affairs’ current online filing system. Company and LLP forms, including AOC-4, MGT-7, Form 8 and Form 11, are filed as web forms on the MCA portal, where many fields are pre-filled from MCA records.
What happens if annual filing is late?
Late AOC-4 and MGT-7 filings attract an additional fee of ₹100 per day for each form, with no upper limit, and LLP forms attract higher fees based on the delay. Continued default can also lead to penalties. It is best to file on time.
Is DIR-3 KYC still yearly?
No. From 31 March 2026, the KYC is filed once every three years in Form DIR-3 KYC-Web. MCA has said directors who had already completed KYC are next due by 30 June 2028. A change in mobile number, email or address must be reported within 30 days.
Does Rule 9B apply to my private company?
It applies to private companies that are not small companies or government companies. The time limit is 18 months from the end of the financial year in which the company first stops being a small company. We check your audited figures and tell you where you stand.
Do some forms need professional certification?
Yes. The law requires certain forms to be certified by a practising professional. Where professional certification is required, it is arranged as per law.

Yes, with your DSC on the MCA V3 portal. We assist if you want help with documents, drafting and due-date tracking.
